Introduction

These Terms of Use shall govern the use of this website (including the services it provides, collectively "the Website") by any individual or legal entity (collectively and individually "the User".) By accessing and using the Website, the User hereby acknowledges and accepts all of these Terms of Use. Services of the Website

The Website provides a service that enables filmmakers, screenwriters, and other creative individuals and groups (collectively "Creator(s)") to share information and works of art (including films, screenplays, and other forms of original artistic material, collectively "Submission(s)") with the judges, directors, readers and affiliates of film festivals, screenwriting competitions, and other contest or event operators (collectively "Event(s)".) Any applicable payments in connection with transactions between the Creators and the Events may be facilitated by the Website using third party payment processors including but not limited to services such as PayPal and Stripe. By registering an account on the Website to share Submissions with Events, the User assumes the role of a Creator as well as a User in relation to these Terms of Use. By registering an account on the Website and posting information about the services or products offered by an Event, the User assumes the role of an Event as well as a User in relation to these Terms of Use.

By sharing Submissions with any Events, the Creator agrees and represents that the contents of the Submissions are fully legal and compliant under all applicable laws relating to the Creator, the Event, and the Website. Additionally, the Creator certifies that he/she/it has the rights to the intellectual property related to Submissions shared with any Event.

By advertising a film festival, screenplay competition, or other such event or contest, the Event agrees and represents that all of the information, personal identities, images, logos, rules, prizes, dates, and terms are true and accurately represent the products and services of the Event and that the Event has the rights to any intellectual property related to the content of the Event's information, images, videos and other material shown on any part of the Website in connection with the Event. Additionally, the Event represents that all of its products and services are fully compliant with all applicable laws and regulations.

The owners and operators of the Website reserve the right to remove or delete any information, image, video, screenplay, text file or other digital data from the Website provided by a Creator, Event, or other User that may be deemed inappropriate, offensive, inaccurate, or in violation of these Terms of Use or any applicable laws or regulations.

If the User has any reason to believe that any information, images, or other material provided by a Creator or Event or any other User is inaccurate, offensive, or in violation of these Terms of Use or any applicable laws, the User is encouraged to notify the Website's support as soon as possible.

The User acknowledges that text, images, videos and other digital material may be made available through the services provided by the Website on an automated basis and may not have been approved or verified by the owners, operators, directors or affiliates in control of the Website at any given time. The Website, including its owners, operators, directors, and affiliates, shall not be held liable for any of the actions of any User including but not limited to the display of information, images, and artwork provided by or in connection with any Creators or Events that may be served on the Website at any given time. By using the Website, the User assumes all such liabilities for the information, images, videos and other artwork provided by the User.

Account Obligations

By registering and using an account on the Website, the User agrees to provide accurate information about the User and about any film, short films, screenplays, other artwork, event, competition, product or other third-party service made visible on the Website by the User. The User agrees to maintain and update this information on a regular basis. The operators of the Website shall reserve the right to suspend or terminate the User's account and deny the User further access to the Website at the sole discretion of the owners and operators of the Website.

Security

By registering and using an account on the Website, the User accepts all responsibility for the data provided by the User for any purpose. The User understands that certain types of identifiable information will be required for the purpose of submitting materials to Events. It is the responsibility of the User to choose a sufficiently complex password to mitigate unauthorized access to the User's information. The owners and operators of the Website shall not be held liable for any unauthorized access or dissemination of the User's information. Additionally, the User agrees to notify the support staff of the Website immediately if the User is aware of any unauthorized use of the User's account or other breach of security. The User will sign off and exit at the end of each session to prevent exposure of the User's account to other parties with access to the User's computer. The owners and operators of the Website shall not be liable for any loss or damages arising from the User's failure to comply with these terms.

Admonitions for International Use

The User agrees to comply with all local, national or international laws and regulations regarding the transmission of data and internet use which may be applicable to the User or the Website.

Indemnity

The User agrees to defend, indemnify and hold the Website's owners and operators harmless (include all employees, officers, directors, representatives, contractors, and affiliates of the owners and operators of the Website) from and against loss, damage, judgment, settlement, expense, interest, and any other liability including reasonable attorney's fees and legal costs related to or arising out of any third party lawsuit, allegation, claim, or proceeding (a "Claim") arising out of: information, content, images, or services provided by the User through listings on the Website; the User's use of, contributions to, or connection with the Website; the User's violation of these Terms of Use; and/or the User's violation of the rights, laws or regulations of any other party or nation.

Termination or Modification

The owners and operators of the Website reserve the right to terminate the User's access to the Website, and remove any information or content provided by the User, for any reason including, without limitation, for leaving an account dormant, for failure to pay any applicable fees owed to the operators of the Website, or for the violation of any of these Terms of Use or other policies of the Website. The User shall not hold the owners and operators of the Website or any third party liable for the termination, removal, suspension, or unavailability of services provided by the Website. All of these Terms of Use shall survive the termination or expiration of this agreement.

THE USER'S USE OF THE WEBSITE SHALL BE AT THE SOLE RISK OF THE USER. THE WEBSITE AND THE SERVICES PROVIDED BY ITS OWNERS AND OPERATORS ARE PROVIDED ON AN "AS-IS" BASIS AND "AS-AVAILABLE" BASIS. THE OWNERS AND OPERATORS OF THE WEBSITE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES ARISING FROM ANY COURSE OF USAGE WITH REGARD TO ANY DATA, IMAGES, VIDEO CONTENT, AUDIO RECORDING, PRODUCTS, SERVICES OR OTHER ITEMS PROVIDED OR MADE AVAILABLE THROUGH THE WEBSITE. IF THE USER ACQUIRES ANY INFORMATION OR CONTENT ABOUT AN EVENT OR COMPETITION, AND/OR THE USER SUBMITS ANY INFORMATION OR CONTENT TO AN EVENT OR COMPETITION, THROUGH THE WEBSITE, THE USER DOES SO AT THE USER'S OWN DISCRETION AND RISK AND THE USER IS SOLELY RESPONSIBLE FOR ANY DAMAGES TO THE USER, OR ANY OTHER ADVERSE CONSEQUENCE THAT RESULTS FROM SUCH ACTIONS. THE OWNERS AND OPERATORS OF THE WEBSITE SHALL HAVE NO LIABILITY WITH RESPECT TO ANY INFORMATION OR CONTENT PROVIDED BY THE USERS OF THE WEBSITE, INCLUDING THE ACCURACY OF ANY INFORMATION OR CONTENT PROVIDED BY EVENTS AND COMPETITIONS.

Miscellaneous

Unless otherwise agreed upon in writing between the User and the owners and operators of the Website, these Terms of Use, as well as any additional terms that the User has agreed to enter in connection with the use of the Website, shall constitute the entire agreement between the User and the owners and operators of the Website and all services provided by the Website, and shall supersede any prior agreements between the User and the owners and operators of the Website. The User may be subject to additional terms which may apply due to the use of third-party content, hosting services, or third-party software including, without limitation, the use of third-party content hosting services and third-party payment processors.

Violations

The User is encouraged to report any third-party violations of these Terms of Use to the support staff of the Website.
